DEFINITIONS
“Customer” means the organisation purchasing goods or services from us.
“Goods” means products supplied by us, including printers, cards, credentials, ribbons, consumables, lanyards, holders, passes and related equipment.
“Services” means printing, personalisation, image capture, installation, configuration, training, consultancy, accreditation, support or other agreed work.
“Order” means an order accepted by us in writing.
“Quotation” means our written description of the proposed goods, services, prices and any specific terms.
THESE TERMS AND ORDER PRIORITY
These terms apply to every quotation and order unless we agree otherwise in writing.
If there is a conflict, the following order of priority applies:
• Any specifically agreed written contract
• Our accepted quotation or order confirmation
• These terms
A customer’s purchasing terms will not apply unless we expressly accept them in writing.
QUOTATIONS AND ORDERS
Quotations are invitations to place an order and are valid for the period stated on the quotation.
An order becomes binding when we issue written acceptance, an order confirmation or begin supplying the goods or services.
We may decline an order before acceptance, including where products are unavailable, pricing is incorrect, technical requirements cannot be met or credit approval is unavailable.
The customer is responsible for checking that all order details, quantities, specifications, compatibility requirements, artwork and delivery information are correct.
PRICES AND VAT
Prices are stated in pounds sterling and exclude VAT and delivery charges unless the quotation clearly states otherwise.
Any applicable VAT, delivery, installation, travel or other agreed charges will be added to the invoice.
We may correct obvious pricing errors before accepting an order.
PAYMENT
Payment terms will be stated on the quotation, order confirmation or invoice. If no payment terms are stated, payment is due before dispatch or commencement of services.
The customer must pay invoices in full without deduction, set-off or withholding except where required by law.
We may suspend delivery, services, support or further orders while an overdue amount remains unpaid.
We reserve the right to claim statutory interest, compensation and reasonable recovery costs on overdue commercial debts where permitted by law.
DELIVERY
Delivery dates are estimates unless expressly agreed in writing as fixed.
We are not responsible for delays caused by couriers, manufacturers, shortages, customs, customer actions or events outside our reasonable control.
The customer must provide safe and accurate delivery information and promptly notify us of any delivery problem.
Risk in goods passes to the customer on delivery. Ownership remains with Fairfield ID Solutions Ltd until all sums due for those goods have been paid in full.
INSPECTION, DAMAGE AND SHORTAGES
The customer should inspect delivered goods promptly.
Visible damage, shortages or incorrect items should be reported in writing as soon as reasonably possible, with photographs and delivery information where appropriate.
The customer must retain packaging and affected goods while we or the carrier investigate.
Nothing in this section excludes rights that cannot lawfully be excluded.
RETURNS
Goods may only be returned with our prior written authorisation and in accordance with the instructions we provide.
Non-faulty standard goods may be accepted for return at our discretion and may be subject to restocking, collection or administration charges.
The following cannot normally be returned unless faulty, damaged or incorrectly supplied:
• Personalised, printed or encoded cards
• Custom lanyards, passes, holders or branded products
• Goods manufactured or configured to order
• Opened ribbons, consumables or security-sensitive products
• Software, licences or activated subscriptions where cancellation is restricted by the provider
Unauthorised returns may be refused.
PERSONALISED GOODS AND ARTWORK APPROVAL
The customer is responsible for checking names, photographs, data, colours, layouts, encoding requirements and all other personalisation details.
Production may begin once the customer approves artwork, a proof, data or specification.
After approval, changes may result in additional charges, delay or the need to reproduce goods at the customer’s cost.
Colours displayed on screens or proofs may differ slightly from final printed output because of device, material and production differences.
CUSTOMER-SUPPLIED DATA
The customer confirms it is authorised to provide all personal information, photographs, logos, artwork and other materials supplied to us.
The customer is responsible for the accuracy, quality and lawful use of those materials.
Where we process personal information on the customer’s documented instructions, the parties will comply with applicable data-protection requirements and any separate processing terms agreed between them.
COMPATIBILITY
The customer must provide complete and accurate information about its existing printers, readers, software, systems, technologies and encoding requirements.
We will provide reasonable guidance using the information available, but compatibility cannot be guaranteed where systems, credentials or equipment have not been fully identified or tested.
The customer should not assume that cards, ribbons, software, encoders or accessories are interchangeable between manufacturers or models.
SERVICES
The customer must provide reasonable access, information, cooperation, suitable facilities and authorised personnel needed for us to perform services.
Timescales may change if information, approvals, data, access or customer dependencies are delayed.
Additional work outside the agreed scope may be quoted and charged separately.
THIRD-PARTY PRODUCTS AND SERVICES
Manufacturer warranties, software terms, licence conditions, subscriptions and support policies may apply to third-party products.
We are not responsible for changes made by a manufacturer, software provider or other third party outside our control.
Where appropriate, we will provide reasonable assistance with a valid warranty or support claim.
WARRANTIES
We warrant that our services will be performed with reasonable care and skill.
Goods will be supplied in accordance with their agreed description and any applicable manufacturer warranty.
Except where prohibited by law, all other warranties or conditions implied by law are excluded to the fullest extent permitted.
INTELLECTUAL PROPERTY
Each party retains ownership of intellectual property it owned before an order.
The customer grants us permission to use supplied logos, artwork, data and materials solely to deliver the order.
Unless otherwise agreed in writing, ownership of our templates, processes, concepts, designs and working files remains with us. Once payment is received, the customer may use final approved deliverables for their intended business purpose.
CONFIDENTIALITY
Each party must keep the other party’s confidential information secure and use it only for the relevant business relationship.
This obligation does not apply to information that is already public, lawfully received from another source or required to be disclosed by law.
LIABILITY
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot legally be limited.
Subject to that:
• We are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, loss of business or loss of data
• We are not responsible for losses caused by inaccurate customer information, unapproved system changes, misuse, failure to follow instructions or incompatibility that could not reasonably have been identified
• Our total liability relating to an order will not exceed the total amount paid or payable to us for that order
The customer is responsible for maintaining appropriate backups, security controls, access permissions and business-continuity arrangements.
FORCE MAJEURE
Neither party is liable for delay or failure caused by circumstances beyond its reasonable control.
The affected party will take reasonable steps to reduce the impact and resume performance.
CANCELLATION AND TERMINATION
A customer may request cancellation before completion, but cancellation is subject to our written agreement.
The customer must pay for work completed, committed supplier costs, non-cancellable goods and reasonable cancellation expenses.
Either party may terminate an order for a serious breach that is not remedied within a reasonable written notice period, or immediately where the other party becomes insolvent.
Termination does not affect rights or payment obligations that arose beforehand.
WEBSITE INFORMATION
Website content is provided for general information and may change without notice.
Product images are illustrative. Specifications, availability and compatibility should be confirmed before ordering.
Links to third-party websites are provided for convenience and do not make us responsible for their content.
DATA PROTECTION
Each party will comply with applicable data-protection law.
Further information about how we handle personal information is available in our Privacy Policy.
GENERAL
If any provision is unenforceable, the remaining provisions continue in effect.
A delay in enforcing a right is not a waiver of that right.
The customer may not transfer an order without our written consent. We may use suitable subcontractors while remaining responsible for our contractual obligations.
Nothing in these terms creates a partnership, agency or employment relationship.
GOVERNING LAW
These terms and any dispute or claim arising from them are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction.
